Terms of Service

These Terms of Service (“Terms”) govern access to and use of the GoHelix scraping API, dashboard, and related services (collectively, the “Service”), operated by GoHelix, a Delaware, United States company (“Company,” “we,” “us”). By creating an account, accessing an API key, or otherwise using the Service, you (“User,” “you”) agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that all registration information you provide is accurate and current.

2. Service Description

The Service provides an API and related tools that allow users to submit URLs or queries and receive extracted, rendered, or structured web data in return (the “Output”). The Service does not guarantee the accuracy, completeness, legality, or availability of any Output, since target websites can change structure, block access, or remove content at any time without notice. We do not offer an uptime guarantee unless a separate written Service Level Agreement (SLA) is in place.

3. Account Registration and API Keys

You are responsible for maintaining the confidentiality of your account credentials and API key(s). You are responsible for all activity that occurs under your account, whether or not authorized by you. Notify us immediately of any unauthorized use or suspected security breach. Do not share API keys across unrelated accounts or resell access to your key without our written consent.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including data protection laws (e.g., GDPR, CCPA) and the laws of the jurisdiction where target websites are hosted. You will not use the Service to:

  • Scrape, access, or attempt to access content that requires login credentials, bypasses paywalls, CAPTCHAs, or other access controls without authorization.
  • Extract personal data in violation of applicable privacy law, or to build databases used for stalking, harassment, doxxing, or unsolicited contact.
  • Scrape content protected by copyright or other IP rights for redistribution, resale, or republication without a lawful basis or authorization.
  • Target websites that explicitly prohibit automated access in their own Terms of Service, where such access would be unlawful (e.g., in violation of the Computer Fraud and Abuse Act or equivalent).
  • Collect data for background checks, credit decisions, employment screening, insurance underwriting, or any purpose covered by the Fair Credit Reporting Act or similar regulation.
  • Scrape content related to child sexual abuse material (CSAM), terrorism, weapons trafficking, or other illegal content of any kind.
  • Use the Service to build a competing scraping API or data extraction product.
  • Interfere with, overload, or degrade the Service’s infrastructure, or attempt to reverse-engineer, decompile, or bypass rate limits and usage controls.
  • Use the Service for spam, malware distribution, phishing, or fraud.

We reserve the right to refuse or restrict scraping of specific domains at our discretion, including in response to complaints from target websites.

5. Rate Limits and Fair Use

Use of the Service is subject to the rate limits, quotas, and concurrency limits associated with your plan. We may throttle, queue, or suspend requests that exceed fair use, and may suspend accounts engaging in abusive request patterns (e.g., excessive retries, distributed key sharing, or attempts to circumvent limits).

6. Fees and Payment

Paid plans are billed in advance on a recurring (monthly/annual) basis through our third-party payment processor. You authorize recurring charges until you cancel. You are responsible for all applicable taxes. Except where required by law or expressly stated in a plan, fees are non-refundable, including for partial billing periods or unused credits. Failure to pay may result in suspension or termination of access.

7. Target Websites and Third-Party Content

You acknowledge that Output may include content owned by third parties over which we have no control and to which we grant no license or rights. You are solely responsible for determining whether your use of any Output complies with the target website’s own terms of service, robots.txt directives, and applicable law, and for obtaining any permissions or licenses required. We are not a party to, and assume no responsibility for, any dispute between you and a target website arising from your use of the Service, and you release us from claims arising out of such disputes to the fullest extent permitted by law.

8. Intellectual Property

We and our licensors retain all rights, title, and interest in the Service, including our software, models, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal or commercial purposes in accordance with these Terms. You retain ownership of any Output data you extract, subject to Section 7. Feedback you provide about the Service may be used by us without restriction or compensation.

9. Disclaimer of Warranties

The Service and any Output are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Service will be uninterrupted, error-free, or that Output will be accurate, complete, or available from any given target website at any time.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, or goodwill, arising from your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the six (6) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless GoHelix and its officers, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) the data you scrape, store, or distribute using the Service; (c) your violation of these Terms or any applicable law; or (d) your violation of any third party’s rights, including a target website’s terms of service, privacy rights, or intellectual property rights.

12. Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive activity, or created risk or legal exposure for us or others. You may cancel your account at any time; cancellation does not entitle you to a refund except as required by law. Sections that by their nature should survive termination (including Sections 7–11) will survive.

13. Modifications to the Service or Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time; material changes will be notified via the dashboard or email, and continued use after the effective date constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of these Terms will first be attempted to be resolved informally; unresolved disputes will be subject to the exclusive jurisdiction of the courts located in Delaware, United States.

15. Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them freely.
